# Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Compound ("we", "us", or "our") governing your use of the Compound mobile application and any related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

## 1. Eligibility
You must be at least **18 years old** to use Compound. By using the Service you represent that you meet this requirement. If you are using Compound on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

## 2. Your Account
You are responsible for:
- The accuracy of the information you provide.
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
If you suspect unauthorized access, contact us at **[email protected]** immediately.
We may suspend or terminate your account if you violate these Terms, abuse the Service, or use it in a way that risks harm to other users or the Service.

## 3. Educational Content — Important Disclaimers
**Compound is an educational product. It is NOT financial, legal, tax, investment, or accounting advice.**
- All lessons, simulators, AI tutor responses, and other content are for general informational and educational purposes only.
- Numbers shown (tax brackets, contribution limits, interest rates, market returns) reflect publicly available information at a point in time and may become out of date.
- Your financial situation is specific to you. Before making decisions about taxes, investments, debt, insurance, or retirement, consult a licensed professional (CPA, CFA, CFP, attorney) who knows your circumstances.
- The exam preparation tracks (CFA, Series 7, CFP, and others) are study supplements aligned to publicly published Learning Outcome Statements. They are **not** affiliated with, endorsed by, or sponsored by CFA Institute, FINRA, the CFP Board, GARP, CAIA Association, IMA, or any other certifying body. We do not guarantee that completing our content will result in passing any exam.
You agree that you use the Service at your own risk.

## 4. AI Tutor — Accuracy and Limitations
The in-app AI tutor uses a large language model. While we instruct it to follow lesson content and Socratic teaching practices, AI models can make mistakes, including factual errors. Treat AI tutor responses as a starting point for understanding, not authoritative advice. Verify anything important against the primary sources cited in each lesson.

## 5. Compound Pro Subscription
If you subscribe to Compound Pro:
- **Billing.** Subscriptions are billed through Apple App Store, Google Play, or other authorized payment processors. We do not directly process card payments.
- **Renewal.** Subscriptions auto-renew at the end of each billing period unless you cancel through your platform's subscription settings.
- **Cancellation.** You can cancel at any time through your Apple ID Subscription settings (Settings → [Apple ID] → Subscriptions → Compound → Cancel Subscription). Cancellation takes effect at the end of the current billing period. We do not refund partial periods unless required by law or the platform.
- **Pricing.** Current pricing is displayed in the app. We may change pricing for new subscriptions with notice; existing subscribers will not see retroactive price increases without at least 30 days' notice.
- **Pro features.** Pro members get features described in the app, including unlimited AI tutor messages, unlimited hearts, and access to Exam Prep tracks. We may add, modify, or remove specific features; the Pro tier itself will continue to exist.

## 6. Acceptable Use
You agree not to:
- Use the Service to violate any law or regulation.
- Attempt to gain unauthorized access to any account, system, or data.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use automated tools to scrape, harvest, or collect data from the Service.
- Use the AI tutor to generate harmful, deceptive, defamatory, or unlawful content.
- Share your account or your Pro subscription with other people in violation of the platform terms.
- Misuse the issue-reporting feature (sending spam, abuse, or bad-faith reports).
We may, but are not required to, monitor user behavior, including AI tutor conversations, for abuse and policy violations.

## 7. Your Content and License
You retain ownership of any content you create within Compound (notes, settings, etc.). You grant us a worldwide, non-exclusive, royalty-free license to use that content as needed to operate the Service for you (e.g., storing your lesson progress, displaying your messages back to you).
When you submit feedback or feature requests, you grant us a perpetual, irrevocable right to use that feedback without obligation to you.

## 8. Our Intellectual Property
The Compound name, logo, lesson text, simulators, illustrations, source code, and other proprietary materials are owned by Compound or our licensors. Practice questions in the exam-prep tracks are original to Compound and protected by copyright. You may not copy, redistribute, or create derivative works from our content except for personal, non-commercial study.
LOS references and exam outlines we cite belong to their respective certifying bodies (CFA Institute, FINRA, CFP Board, etc.).

## 9. Termination
You may stop using the Service or delete your account at any time. We may suspend or terminate your account if:
- You violate these Terms.
- We are required by law.
- We discontinue all or part of the Service (we will give reasonable notice where practical).
Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (intellectual property, disclaimers, indemnification, limitations of liability) will survive.

## 10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT CONTENT WILL BE ACCURATE OR UP-TO-DATE.
WE DO NOT WARRANT THAT USE OF THE SERVICE WILL HELP YOU PASS ANY EXAM, ACHIEVE ANY FINANCIAL OUTCOME, OR MEET ANY EDUCATIONAL OBJECTIVE.

## 11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPOUND AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE LESSER OF (A) $100 USD, OR (B) THE AMOUNT YOU PAID US IN THE 6 MONTHS BEFORE THE CLAIM.
Some jurisdictions do not allow these limitations. In such places, the limitations apply to the maximum extent permitted by law.

## 12. Indemnification
You agree to defend, indemnify, and hold harmless Compound and its owners, employees, and affiliates from any claim, demand, or liability arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any law or right of any third party.

## 13. Changes to These Terms
We may update these Terms from time to time. If we make material changes we will notify you in the app or by email at least 7 days before they take effect. Continued use of the Service after changes constitutes acceptance.

## 14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Kingdom of Saudi Arabia, without regard to conflict-of-law principles. Compound is operated by an individual developer based in Jeddah.
**Informal Negotiations.** You and Compound agree to resolve disputes through informal good-faith negotiation first. The Parties agree to first attempt to negotiate any dispute informally for at least **30 days** before initiating arbitration. Informal negotiations commence upon written notice from one Party to the other Party (sent to **[email protected]** for Compound).
**Binding Arbitration.** Any dispute arising out of or in connection with these Terms that cannot be resolved through informal negotiations shall be referred to and finally resolved by binding arbitration. The seat of arbitration shall be **Jeddah, Saudi Arabia**. The language of the proceedings shall be **English**. The number of arbitrators shall be **one (1)**.
**Restrictions.** The Parties agree that any arbitration shall be limited to the dispute between the Parties individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a representative capacity on behalf of the general public or any other persons.
**Exceptions.** The following disputes are not subject to the above provisions: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief.
If you are a consumer in a jurisdiction with mandatory consumer-protection laws (e.g., EU, UK, California), those laws still apply to the extent they conflict with these Terms. Nothing in these Terms limits any non-waivable rights you may have under your local law.

## 15. Miscellaneous
- **Entire agreement.** These Terms and our Privacy Policy constitute the entire agreement between you and Compound.
- **Severability.** If any part of these Terms is unenforceable, the rest remains in effect.
- **No waiver.** Failure to enforce any provision is not a waiver of our right to enforce it later.
- **Assignment.** You may not assign these Terms. We may assign them to a successor in connection with a sale, merger, or reorganization.
- **Electronic signatures and communications.** Visiting the Service, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
